LocalChart software and pilot terms

Authorized acceptance

The person completing real-clinic setup must be authorized to accept these terms for the clinic. LocalChart records the accepted version, clinic administrator, and acceptance time in the clinic's local settings audit history.

Limited clinic license

Subject to the applicable order and subscription status, Neural Workflow LLC grants the clinic a limited, nonexclusive, nontransferable right to install and use LocalChart for its internal clinic operations. The clinic may not resell, reverse engineer, bypass licensing, or provide the software as a service to unrelated organizations except where law expressly prohibits that restriction.

Clinic-controlled records

The clinic retains control of its LocalChart clinical data, subject to patient rights and applicable law. The clinic chooses its host, staff accounts, access, retention, backups, exports, and recovery. A subscription lapse may pause creation of new work. Authorized staff retain reading, export, backup, audit-history, and recovery access for existing clinic records.

Two documentation modes

Encounter recording is optional. The clinic decides when recording is appropriate and is responsible for obtaining and documenting any consent or authorization required by law, payer rules, facility policy, or professional obligations. If encounter recording consent is not obtained, the patient conversation must not be recorded.

Provider dictation remains available. The clinician can dictate their own history, findings, measurements, assessment, and plan without recording the patient encounter. Scheduling, transcription, drafting, fact review, clinician editing, records, and export continue to work in provider-dictation mode. Nothing in these terms states that dictation eliminates the clinic's other privacy or documentation duties.

Clinician responsibility

Transcripts, extracted statements, summaries, and generated reports are drafts. An authorized clinician must review, correct, and approve documentation before relying on or filing it. LocalChart does not diagnose, choose treatment, replace professional judgment, or guarantee payer, legal, regulatory, or reimbursement compliance.

Clinic security and continuity

The clinic is responsible for accurate user roles, unique staff accounts, physical security, supported hardware, network administration, operating-system updates, approved remote access, tested backups, recovery credentials, downtime procedures, and workforce training. LocalChart readiness indicators reduce risk but do not replace clinic procedures.

Support and PHI boundary

Do not send PHI through ordinary support email. Default support uses fictional, redacted, or PHI-free diagnostics. Do not grant Neural Workflow LLC access to PHI unless the parties first determine the applicable legal role and complete any required written agreement. A disclaimer cannot replace a required business associate agreement.

Third-party components

LocalChart may interoperate with or rely on operating systems, browsers, networking tools, payment processors, and other third-party components. Their availability, terms, and security responsibilities remain separate.

Pre-release and pilot limitations

Pilot or testbed software may contain defects and may change. Clinics must complete fake-patient validation and the release readiness gate before real-patient use. No pilot should become the clinic's only downtime, backup, or legally required record-access process.

Termination and data exit

When use ends, the clinic remains responsible for exporting and retaining records as required. LocalChart is designed to preserve authorized access to existing records and recovery tools even when new-use features are unavailable. The clinic must keep its own verified backups and exported copies.

These product terms are an operational baseline and are not a claim of HIPAA or other legal compliance. Clinic-specific pilot orders and final commercial terms should be reviewed by qualified counsel before paid clinical deployment.
